WeatherXM Network Association ​

The WeatherXM Network Association is an independent, non-profit organization established under the laws of Switzerland (Articles 60 et seq. of the Swiss Civil Code), domiciled in Zug, Switzerland. It was formally founded on December 24, 2023.

The Association serves as the neutral governance and coordination body for the open WeatherXM Network protocol, ensuring decentralized ownership, transparent treasury management, and independent hardware standards.

Statutory Purpose ​

According to Article 2 of the Association’s Articles of Association, the statutory purpose is defined as follows:

"The purpose of the Association is the promotion, development and management of the open-source WeatherXM network (“WeatherXM Network”), in particular the development and deployment of open-source software, decentralized technologies and related applications. In addition, the Association aims to promote the development, deployment and management of a decentralized ecosystem of weather stations and other data providers as well as to encourage and promote education regarding this decentralized ecosystem."

Organizational Bodies ​

The Association consists of the following governing bodies:

1. The General Assembly (GA) ​

The General Assembly is the supreme governing body of the Association. It is composed of the Association members and is responsible for:

  • Adopting and amending the Articles of Association.
  • Appointing the Board of Directors.
  • Approving the annual financial statements and annual budget.
  • Passing formal resolutions on network policies, manufacturer certifications, and commercial licensing auctions.

2. The Board of Directors ​

The Board manages the day-to-day administration and operational representation of the Association. It is responsible for:

  • Executing resolutions passed by the General Assembly.
  • Managing the Association's financial accounts, smart contract registries, and treasury allocations.
  • Overseeing legal, regulatory, and tax compliance under Swiss law.

Relationship with WeatherXM AG ​

The WeatherXM Network Association and WeatherXM AG are legally separate and operationally distinct entities:

  • The Association owns no proprietary hardware tooling, provides no commercial warranties, and operates no paid enterprise APIs. Its focus is strictly protocol governance, station reward mechanics, and public dataset licensing.
  • WeatherXM AG is a commercial technology entity that develops hardware, enterprise APIs, consumer applications, and participates as a commercial licensee of the Network Dataset.
